These Terms of Service ("Terms") are an agreement between you and MAC Enterprise Registered Agent Services Inc. ("MAC Registered Agent," "we," "us" or "our"), a Wyoming corporation (Wyoming Secretary of State Filing ID 2025-001630294) and Wyoming Commercial Registered Agent located at 2304 Pioneer Avenue, Cheyenne, WY 82001. They apply to your use of macregisteredagent.com and to the registered agent, annual report, commercial lease and mail handling services we provide (the "Services"). "You" means the person accepting these Terms and the company or companies for which you order Services. By ordering or using the Services, you agree to these Terms and confirm that you are authorized to act for each company.
1. We are not a law firm
We are not a law firm or an accounting firm and do not provide legal, tax or financial advice. Information on our website and from our team is general information. A Wyoming company, a commercial lease or a mail plan does not by itself guarantee any particular tax treatment, privacy outcome or protection of assets, and does not change another state's tax or registration requirements. Please consult a licensed attorney or tax professional about your situation.
2. Registered agent service
- We will serve as registered agent for each company you designate, maintain a registered office in Wyoming and be available during normal business hours to accept service of process and official state correspondence.
- When we receive service of process or state correspondence for your company, we will make it available in your online account and notify you using the contact information on file.
- You are responsible for keeping your contact information current, reviewing notices promptly and taking any action they require, including responding to lawsuits by their deadlines. We do not respond to legal process or deadlines on your behalf.
- Our service begins when the State of Wyoming accepts the filing naming us as your agent. You are responsible for any state filing fees, including the fee to appoint a new registered agent.
- If your service ends or is not renewed, or if your account is past due, we may resign as registered agent by filing a resignation with the Wyoming Secretary of State as permitted by law, after giving notice to the contact on file. You are responsible for appointing a new agent.
3. Annual report filing
- When your Service includes annual report filing, we will prepare and file your Wyoming annual report using the information you provide. You are responsible for the accuracy of that information, including the value of assets located and employed in Wyoming.
- Wyoming packages include the state's $60 minimum annual report license tax for each covered company. If your company owes more than $60, you agree to pay the difference before we file.
- We need your information in time to file before the due date. We are not responsible for late fees, delinquency or dissolution that results from information you did not provide on time, unpaid fees, or other circumstances outside our control.
4. Commercial lease and suite address
- Commercial leases are governed by a separate written lease agreement. If that agreement conflicts with these Terms, the lease agreement controls for the lease.
- Each lease and suite number is assigned to a single company and may be used only for that company's lawful business purposes.
- Availability and terms depend on the business and how it will use the space. We may decline or end a lease for misuse, nonpayment or unlawful activity.
5. Mail handling
- USPS Form 1583. We can receive mail for your company only after USPS Form 1583 is completed and verified for that company, as USPS rules require for Commercial Mail Receiving Agencies.
- Plan allowances. Each plan includes the open & scans and forwards listed on our website, counted per mail item, with unlimited envelope scans and shredding. An item over 10 pages counts as one extra item for each additional 10 pages. Extra open & scans are $2 each and extra forwards are $5 plus postage. Unused allowances do not roll over.
- Postage. Postage is billed at cost on every forward.
- What we accept. We accept postcards, letters and large envelopes up to 0.75 inches thick. We do not accept packages, boxes, rigid mailers, or oversized or lumpy items, and we do not accept aerosols, alcohol, firearms, batteries, liquids, tobacco or other USPS-prohibited items. Items we cannot accept may be refused or returned to sender.
- Checks and originals. Checks, bank cards and original signed documents are forwarded, not scanned. We do not deposit checks or act on your mail.
- No storage. We do not store mail. Please choose to forward or shred each item after it is scanned. We may shred or return items that remain without instructions after a reasonable period, after notifying you.
- Prohibited use. You may not use our address or mail service for any unlawful, fraudulent or deceptive purpose. We may suspend service and notify authorities where required.
6. Prices, billing and renewal
- Prices are listed on our website and in your order. Wyoming packages include the state's $60 minimum annual report fee per covered company. Other state fees and postage are billed separately.
- Automatic renewal. Packages, registered agent service, leases and annual mail plans renew automatically each year, and monthly mail plans renew each month, using the payment method on file, until you cancel. We will remind you before each yearly renewal. Renewals are charged at the price in effect at renewal; we will tell you in advance if a price changes.
- Cancelling. You may cancel at any time by emailing info@macregisteredagent.com. Cancelling stops future renewals. If you cancel registered agent service, you must appoint a new registered agent with the State of Wyoming.
- Refunds. State and government fees, filings already submitted, postage and services already performed are not refundable. Annual fees cover the full service term and are not prorated for early cancellation, except where required by law.
- Upgrades. You may move a company to a higher mail plan at any time by paying the difference.
- Late payment. If a payment fails or an account is past due, we may pause mail handling, hold filings or resign as registered agent after notice.
7. Your responsibilities
- Provide accurate, complete information and keep it up to date.
- Keep your online account login secure and tell us right away about any unauthorized use.
- Use the Services only for lawful purposes and comply with all laws that apply to your company, including tax and registration requirements in every state where you do business.
8. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, default judgments, penalties or business interruption, arising from the Services or these Terms. Our total liability for any claim is limited to the fees you paid us for the affected Service in the 12 months before the claim arose. We are not responsible for delays or failures caused by circumstances outside our reasonable control, including carrier delays, government system outages or inaccurate information provided to us.
9. Indemnification
You agree to indemnify and hold harmless MAC Registered Agent and its officers, employees and affiliates from claims, losses and expenses, including reasonable attorneys' fees, arising from your company's business, your use of the Services, information you provide, or your breach of these Terms.
10. Termination
Either party may end the Services as described in these Terms. We may suspend or end Services for nonpayment, misuse, unlawful activity or breach of these Terms. Sections that by their nature should survive, including fees owed, limitation of liability and indemnification, survive termination.
11. Website use
Content on this website, including text, graphics and logos, belongs to us or MAC Enterprise Consulting and may not be copied without permission. Tools on our website, such as the annual report calculator, provide estimates for planning only.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules. Any dispute will be resolved in the state or federal courts located in Laramie County, Wyoming, and you consent to their jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page with a new "Last updated" date. If a change materially affects your Services, we will notify you before it applies to your next renewal.
